"Ontop – High Frequency Bootcamp Terms of Service"

These terms and conditions ("Terms") govern the "Ontop - High Frequency Bootcamp Program" ("Program") organized by Ontop IC Operations LLC ("us", "we" or "Ontop").

Through this Program, selected founders ("Participant/s") will be able to participate in the Program. By participating in this Program, the Participants, on behalf of themselves and the startups they represent, agree to be bound by these Terms.

1. DEFINITIONS:

1.1 "Program Period" means the period between Wednesday, October 22, 2025, 12:00 am (GMT-5) and Thursday, October 22, 2026, 11:59 pm (GMT-5)

1.2 "Participant" refers to the founder and the legal entity of the startup they represent, who has been accepted into the Program as per section 2.2. To evidence the legal representation of the startup, the Participant must provide a legal document proving such representation and the existence of the startup, which may include, but is not limited to, a certificate of incorporation, a certificate of legal representation, or a letter of authorization to represent the startup in this program signed by the CEO.

1.3 "Ontop Services" refers to the suite of services offered by Ontop for onboarding, managing, and paying international contractors.

1.4 "Ontop Platform" refers to the proprietary software platform owned and operated by Ontop.

2. PROGRAM RULES:

2.1 Eligibility. To be eligible to participate in the Program, you must:

• Be a founder or co-founder of an active startup.
• Be at least 18 years of age.
• Complete the application form truthfully and in its entirety.
• Be available to attend the key sessions and activities of the Program.

2.2 Application and Selection.

• Prospective Participants must apply through the official channel provided by Ontop: https://www.getontop.com/hight-frecuency-bootcamp.
• Ontop will review all applications and select a cohort of Participants based on its own internal criteria, at its sole discretion.
• Successful applicants will be notified through the email address provided in their application.

2.3 Participation Requirements and Commitments.

• The Participant agrees to attend and actively participate in all of the Program's workshops, mentorship sessions, and events.
• Service Commitment: By accepting a place in the Program, the Participants and their represented startup agree to exclusively utilize Ontop Services for the onboarding and payment of all new and existing international team members (independent contractors) for a minimum period of six (6) months following the conclusion of the Program. 
• Investment Round Notification: The Participants, on behalf of their startup, agree to provide prompt written notification to Ontop within fifteen (15) business days of closing any priced equity financing round (e.g., Pre-Seed, Seed, Series A, etc.). They also agree to answer Ontop’s follow ups regarding this topic in no less than five (5) business days. This notification is for the express purpose of providing Ontop, or its designated affiliate, the opportunity to invest in the startup on terms no less favorable than those offered to other investors in that financing round.

3. GENERAL CONDITIONS OF PROGRAM:

3.1 The General Conditions of the Program will be valid throughout the Program Period.

3.2 Ontop reserves the right to cancel, suspend and/or modify the Program, or any part of it, if any fraud, technical failures, or any other factor beyond the Ontop's reasonable control impairs the integrity or proper functioning of the Program, as determined by the Ontop in its sole discretion.

3.3 Ontop reserves the right to disqualify any Participant or remove them from the Program if found to be violating these Terms, or engaging in any unlawful or fraudulent action, as determined by Ontop in its sole discretion.

3.4 Ontop reserves the right, at its sole discretion, to modify, change or update these Terms at any time. Modifications will be communicated by Ontop and will take effect immediately from the time of publication.

3.5 By participating in the Program, all Participants agree to release and hold harmless Ontop, its related companies, affiliates, suppliers, distributors, and advertising agencies, and each of their respective officers, directors, employees, and agents (collectively, the "Released Parties") from and against any claim or cause of action arising out of participation in the Program.

3.6 These Terms shall be governed by and construed in accordance with the law of the State of Delaware. Any dispute in connection with these Terms that cannot be resolved amicably shall be resolved by binding arbitration on an individual basis under the rules established in the Ontop Platform Terms of Service.

3.7 Please, refer to our Client General Terms and Conditions and Worker General Terms and Conditions and Privacy Policy (collectively the "Ontop Platform Terms"), which shall govern any matters not explicitly covered by these Terms. Any capitalized terms in these Terms not defined herein shall have the meaning ascribed to them within the Ontop Platform Terms.

3.8 By participating in the Program, you grant Ontop permission to use your name, likeness, image, voice, and/or appearance as they may be embodied in any pictures, photos, video recordings, audiotapes, digital images, and the like, taken or made on behalf of Ontop for promotional purposes related to the Program, without further compensation or notice.

3.9 By participating in the Program, you acknowledge and agree that the Ontop may collect, store, and use any personal information you provide in accordance with our Privacy Policy. Please refer to Ontop's Privacy Policy. for more information on how we handle your personal information.
