Black Friday Annual Reserve – Terms and Conditions

These Terms and Conditions (the “Terms”) govern the Black Friday Annual Reserve campaign (the “Campaign”).

During the Campaign Period, eligible Ontop users will be able to subscribe to the Reserve Plan in its annual modality and receive a 20% cashback equivalent to the discount, valid for 24 hours only in celebration of Black Friday.

1. DEFINITIONS:

1.1 “Campaign Period” means the period between Friday, November 28, 2025, 12:00 am (GMT-5) and Friday, November 28, 2025, 11:59 pm (GMT-5).

1.2 “Ontop Platform” refers to the digital platform operated by Ontop through which users access financial services and subscription plans.

1.3 “Reserve Plan” is a paid subscription plan offered by Ontop that provides enhanced benefits, including higher cashback, reduced fees on transfers, travel assistance, exclusive campaigns, and special perks.

1.4 “Annual Reserve” refers to the yearly billing modality of the Reserve Plan with a standard price of USD 145.

1.5 “Cashback Benefit” refers to the amount equivalent to 20% of the Annual Reserve price (USD 29) that will be credited back to the Participant after validation of eligibility.

1.6 “Participant(s)” means eligible Ontop users who successfully subscribe to the Annual Reserve Plan during the Campaign Period under the conditions described herein.

2. CAMPAIGN  RULES:

2.1 Eligibility:

To qualify for this Campaign, Participants must:

• Be active Ontop users with an enabled wallet.
• Not have an active Annual Reserve subscription at the time of purchase.
• Successfully complete the full Annual Reserve subscription payment of USD 145 on November 28, 2025.
• Comply with Ontop’s General Terms and Conditions.
• Complete the subscription exclusively through the official Ontop Platform

2.2 Campaign Mechanism and Benefit

• During the Campaign Period, Participants must pay the full Annual Reserve price of USD 145 at the time of checkout.
• The 20% promotional benefit will be granted through a cashback mechanism, equivalent to USD 29, and will not be reflected as an immediate discount at checkout.
• The cashback will be credited only after Ontop verifies that the subscription was completed within the Campaign Period and in compliance with these Terms.
• The cashback will be credited to the Participant’s Ontop Wallet no later than the week immediately following the Campaign end date.

2.3 Payment and Activation Conditions

• The Annual Reserve subscription will activate once the full payment of USD 145 is successfully confirmed by Ontop.
• Access to Reserve benefits will begin upon activation, regardless of the later cashback credit date.
• Failure to complete the payment within the Campaign Period will result in the automatic loss of eligibility for the cashback benefit.

2.4 No Refund Policy

Participants who subscribe to the Annual Reserve Plan under this Campaign will not be eligible for refunds, partial or total, under any circumstance, even in cases of early cancellation, regret after purchase, or before the cashback is credited.

By completing the subscription, the Participant expressly waives any right to request a refund related to the subscription purchased under this Campaign.

2.5 Cashback Conditions

• The cashback is non-transferable, non-withdrawable, and may not be exchanged for cash.
• The cashback will be credited exclusively to the Participant’s Ontop Wallet.
• Ontop reserves the right to withhold the cashback if fraud, abuse, or non-compliance with these Terms is detected.

2.6 Non-transferability

The discounted benefit and the subscription obtained are personal, non-transferable, and may not be resold, assigned, or exchanged for cash or any other benefit.

2.7 Modification and Suspension Rights

Ontop reserves the right to:

• Review transactions to validate compliance with these Terms.
• Cancel or reverse the cashback or the subscription obtained fraudulently or through misuse of the Platform.
• Modify, suspend, or terminate the Campaign at any time if extraordinary circumstances require it, without affecting subscriptions already activated in compliance with these Terms.

2.8 Acceptance of Terms

By subscribing to the Annual Reserve Plan during the Campaign Period, the Participant acknowledges having read, understood, and accepted these Terms and Conditions in full, as well as Ontop’s General Terms and Conditions.

3. GENERAL CONDITIONS OF CAMPAIGN:

3.1 Validity: The Campaign will be valid only during the designated one-hour window communicated via push notifications and email.

3.2 Fraudulent Activity. Ontop reserves the right to (a) cancel, suspend, and/or modify the Campaign and (b) to block a Participant’s account at any time if it is determined that fraud or unlawful action is taking place in order to gain additional cashback.

3.3. Elegibility. Ontop reserves the right to modify the conditions of eligibility for this Campaign and/or to cancel the Campaign, at any time and at its sole discretion.

3.4 Modification and Termination. Ontop reserves the right, at its sole discretion, to modify, change, or update these Terms at any time. Modifications will be communicated by Ontop and will take effect immediately from the time of publication.

3.4 Limitation of Liability. By participating in the Campaign, you agree to release Ontop, its affiliates, and representatives from any claims or liability arising from your participation. Ontop is not responsible for any technical issues, system failures, or other problems that may result in lost or incomplete transactions.

3.5 Governing Documents. Please refer to our Client General Terms and Conditions and Worker General Terms and Conditions and Privacy Policy, as well as the Ontop Card Terms of Service (collectively the “Ontop Platform Terms”), which govern any matters not explicitly covered by these Terms. Any capitalized terms not defined in these Terms will have the meaning ascribed to them within the Ontop Platform Terms.

3.6 Governing Law and Dispute Resolution. These Terms are governed by the laws of the State of Delaware. Any disputes arising from these Terms will be resolved through binding arbitration on an individual basis, as outlined in the Ontop Card Terms of Service.

3.7 Tax Implications. Participants are solely responsible for any federal, state, and local taxes and any other fees, charges, or expenses associated with the cashback rewards.

3.8 Data Privacy. By participating in the Campaign, you consent to the collection and use of your personal information as described in our Privacy Policy.
